Terms & Conditions

1. Who we are

MezzStock.com (the “Service”) is provided by Minidragon Ltd(“we”, “us”, “our”). By creating an account or using the Service, you (“you”, “User”) enter into a binding contract with Minidragon Ltd on these terms.

2. Acceptance

By signing up for, accessing or continuing to use the Service you agree to these Terms. If you are using the Service on behalf of a business you confirm you have authority to bind that business. You must be of legal age in your jurisdiction to enter into this contract.

3. The Service

MezzStock.com provides software-as-a-service tools for managing mezzanine stock, performing site surveys, designing mezzanine floors, generating quotes, publishing listings to third-party marketplaces (such as eBay) and trading stock with other approved suppliers via our Super Stock Marketplace.

4. Accounts

You are responsible for keeping your login credentials confidential and for all activity under your account. You must provide accurate information and keep it up to date. We may suspend or close accounts that contain inaccurate information or that are being misused.

5. Acceptable use

You must not, and must not allow any third party to:

  • use the Service for any unlawful, fraudulent or deceptive purpose;
  • upload content that infringes the intellectual property or other rights of any third party;
  • attempt to gain unauthorised access to the Service, its data, or other users’ accounts;
  • introduce malware, viruses or harmful code;
  • probe, scan, scrape or test the vulnerability of the Service;
  • send spam, harvest data, or otherwise interfere with other users.

6. Intellectual property

Minidragon Ltd (or its licensors) retains all right, title and interest in the Service, including the software, documentation, trade marks and branding. You receive only a limited, non-exclusive, non-transferable right to access and use the Service in accordance with these Terms and your selected plan. You retain ownership of data and content you upload; you grant us a limited licence to host and process that content solely to provide the Service.

7. Service availability

We work hard to keep the Service available and accurate, but we do not guarantee that it will be uninterrupted, error-free or that defects will be corrected immediately.

8. Payments, billing and subscriptions

Paid plans are billed in advance on a recurring basis (monthly unless stated otherwise) for the selected plan and any add-ons. Subscriptions renew automatically until you cancel. You can cancel at any time from your account settings via the secure billing portal hosted by Stripe.

Payments are processed by Stripe, our payment processor. Where applicable, Stripe calculates and collects sales tax / VAT / GST at checkout. Card and billing details are handled directly by Stripe and are not stored on our systems.

Refunds for change of mind are handled in accordance with our Refund Policy.

9. Marketplace transactions

The Super Stock Marketplace lets approved suppliers list and buy second-hand mezzanine stock from each other. Marketplace listings are supplier-provided information. Used mezzanine components must be inspected by a competent person before reuse. Buyers are responsible for checking suitability, condition, loading capacity and regulatory compliance.

10. Warranties and disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and we disclaim all implied warranties, including merchantability and fitness for a particular purpose. The Service is a tool to help you run your business; it is not a substitute for professional engineering, structural or legal advice.

11. Liability

To the fullest extent permitted by law, our total aggregate liability under or in connection with these Terms is limited to the fees you paid us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, special or consequential losses, including loss of profits, revenue, goodwill or data. Nothing in these Terms limits liability that cannot be excluded by law (such as for fraud, death or personal injury caused by negligence).

12. Suspension and termination

We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay sums when due, present a security or fraud risk, or repeatedly or seriously violate our policies (including Acceptable Use). You may cancel your subscription at any time. On termination, your right to use the Service ends and we may delete your data after a reasonable export period.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email or in-app. Continued use of the Service after the changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction over any disputes, except where mandatory consumer protection laws require otherwise.
